Gai - רישיון שימוש למשתמש קצה (EULA)

1. הגדרות

"הפונט": קובצי הפונט Gai בכל פורמט, כולל הקובץ המשתנה, הקבצים הסטטיים, WOFF ו־WOFF2, וכל עדכון שלהם.
"בעל הזכויות": ‏Digitizer.
"הלקוח": האדם או הגוף שרכש רישיון. אם הרכישה נעשתה בשם ארגון, הארגון הוא הלקוח.
"תחנת עבודה": מחשב אחד שהפונט מותקן בו.

הפונט מורשה לשימוש, ואינו נמכר. כל הזכויות בו שמורות לבעל הזכויות, מלבד הזכויות שהרישיון הזה מעניק במפורש.

2. סוגי רישיון

היקף השימוש המותר הוא ההיקף המופיע בחשבונית או באישור הרכישה.

רישיון	מה מותר
דסקטופ	התקנה על מספר תחנות העבודה שנרכש, ושימוש בפונט בתוכנות עיצוב ומשרד. התוצרים הסטטיים מותרים בכל היקף: הדפסה, תמונות, וידאו, לוגו, אריזה ו־PDF.
ווב	הטמעה באתרים של הלקוח באמצעות `@font-face`, עד מספר צפיות העמוד בחודש שנרכש. הקבצים יוגשו רק מהשרתים של הלקוח או של ספק התשתית שלו, לאתרים בבעלותו.
אפליקציה	הטמעת הפונט בתוך אפליקציה, משחק או תוכנה אחת, עד מספר ההורדות או ההתקנות המצטבר שנרכש. הפונט יוטמע כך שלא ניתן לחלץ אותו בקלות.
מורחב	שימושים שהרישיונות האחרים לא מכסים, כגון מוצר למכירה שהפונט הוא עיקרו, תבנית הניתנת לעריכה, או שידור. בתנאים שייקבעו בהסכם נפרד.

3. מה מותר בכל רישיון

ליצור תוצרים מכל סוג, כולל לוגו וסימן מסחרי, ולהשתמש בהם בכל מקום ובכל זמן, גם לאחר סיום הרישיון.
להטמיע את הפונט בקובצי PDF, לצורך הצגה והדפסה בלבד.
להעביר את הפונט באופן זמני לספק שירות, כגון בית דפוס או מעצב חיצוני, לצורך עבודה עבור הלקוח בלבד. הספק ימחק את הפונט כשהעבודה תסתיים.
להמיר את הפונט לפורמט אחר לצורך שימוש מורשה, כגון subsetting לווב, בתנאי שהשם וההודעות על הזכויות נשמרים.

4. מה אסור

להפיץ, למכור, להשכיר, להשאיל, לשתף או לפרסם את קובצי הפונט, או לאפשר להורדה, בכל צורה שהיא.
לשנות את הפונט, להוסיף לו או ליצור ממנו פונט אחר, אלא בהסכמה בכתב.
להסיר או לשנות את שם הפונט, את הודעת זכויות היוצרים או את מידע הרישיון שבתוך הקבצים.
להשתמש בפונט מעבר להיקף שנרכש, כגון יותר תחנות עבודה, יותר צפיות או יותר אפליקציות. כדי להרחיב את ההיקף, יש לרכוש שדרוג.
להשתמש בפונט לאימון מערכות בינה מלאכותית או ליצירת פונטים, ובכלל זה להשתמש בצורות האותיות כנתוני אימון.

5. העברה

הלקוח רשאי להעביר את הרישיון לגוף אחר פעם אחת, בהודעה בכתב לבעל הזכויות, בתנאי שהוא מוחק את כל העותקים שברשותו. על מקבל הרישיון יחולו כל תנאי הרישיון הזה.

6. סיום

הפרה של הרישיון מסיימת אותו באופן מיידי, ללא צורך בהודעה. עם סיום הרישיון יש למחוק את כל העותקים של הפונט. תוצרים סטטיים שנוצרו כדין לפני הסיום אינם נפגעים.

7. אחריות והגבלת חבות

הפונט מסופק "כמות שהוא" (AS IS), ללא אחריות מכל סוג, מפורשת או משתמעת. בעל הזכויות לא יישא באחריות לנזק עקיף, מיוחד או תוצאתי. בכל מקרה, האחריות של בעל הזכויות מוגבלת לסכום ששולם עבור הרישיון.

8. דין ושיפוט

על הרישיון יחולו דיני מדינת ישראל. סמכות השיפוט הבלעדית נתונה לבתי המשפט המוסמכים בתל אביב־יפו.

1. Definitions

"Font Software": the Gai font files in any format, including the variable font, static fonts, WOFF and WOFF2, and any updates to them.
"Licensor": Digitizer.
"Licensee": the person or organisation that purchased a licence. If it was purchased on behalf of an organisation, that organisation is the Licensee.
"Workstation": one computer on which the Font Software is installed.

The Font Software is licensed, not sold. The Licensor keeps all rights in it except those this licence grants expressly.

2. Licence types

The permitted scope is the one stated on the invoice or purchase confirmation.

Licence	What it allows
Desktop	Installation on the purchased number of Workstations and use in design and office software. Static output is unlimited: print, images, video, logos, packaging and PDF.
Web	Embedding with `@font-face` on the Licensee's own websites, up to the purchased monthly page views. The files may be served only from servers of the Licensee or its hosting provider, for sites the Licensee owns.
App	Embedding in one application, game or piece of software, up to the purchased cumulative number of downloads or installs, in a way that prevents easy extraction of the font.
Extended	Uses no other licence covers, such as products for sale in which the font is the main value, editable templates, or broadcast. On terms agreed in a separate contract.

3. What every licence allows

Creating output of any kind, including logos and trademarks, and using it anywhere and at any time, even after the licence ends.
Embedding the Font Software in PDF files for viewing and printing only.
Giving the Font Software temporarily to a service provider, such as a printer or an outside designer, solely for work done for the Licensee. The provider deletes it when the work is done.
Converting the Font Software to another format for a licensed use, such as subsetting for the web, provided the name and rights notices are kept.

4. What is not allowed

Distributing, selling, renting, lending, sharing, publishing or offering the font files for download in any form.
Modifying the Font Software, adding to it or deriving another font from it, without written consent.
Removing or changing the font name, the copyright notice or the licence information inside the files.
Using the Font Software beyond the purchased scope, such as more Workstations, page views or applications. A larger scope requires an upgrade.
Using the Font Software to train artificial-intelligence systems or to create fonts, including using its letterforms as training data.

5. Transfer

The Licensee may transfer the licence to another party once, with written notice to the Licensor, provided it deletes every copy it holds. The recipient is bound by all of this licence's terms.

6. Termination

Any breach ends the licence at once, without notice. On termination, every copy of the Font Software must be deleted. Static output lawfully created before termination is not affected.

7. Warranty and liability

The Font Software is provided "AS IS", without warranty of any kind, express or implied. The Licensor is not liable for indirect, special or consequential damages. In any case, the Licensor's liability is limited to the amount paid for the licence.

8. Governing law

This licence is governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction.
